These Terms and Conditions (the “Terms”) govern your use of the Folders file manager application (the “App”) and any related services we provide. They form an agreement between you and FOP Konstantynov Andriy Serhiyovych with Reg. No 2971212535 and legal address at Sahaidachnoho st. 3-D, s. Nove, Kyiv oblast, 08168, Ukraine (“we”, “us” and/or “our”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
Free Evaluation
The App is offered with a 14-day free evaluation period during which you may use its full functionality at no cost. When the evaluation period ends, continued use requires a valid license purchased from us.
License
Subject to these Terms and payment of the applicable fee, we grant you a perpetual, non-exclusive, non-transferable license to install and use the App on the number of devices specified at the time of purchase, for either personal or business use. The license is granted per device; using the App on more devices than your license permits requires purchasing additional licenses.
You may not sell, rent, sublicense, redistribute, or otherwise transfer your license or the App to any third party. You may not circumvent the number of devices permitted by your license, and, except to the extent applicable law expressly permits, you may not reverse engineer, decompile, or disassemble the App.
Your license key is personal to you and must be kept confidential. You may not publish, post, share, or otherwise make your license key available online, on any public forum or repository, or to any third party. We may deactivate any license key that we find published or distributed online in breach of these Terms, without notice, refund, or other compensation.
Purchases and Payment
Purchases of the App made directly from us are handled by Paddle, which acts as the merchant of record and processes your payment, tax, and order information. Your purchase is also subject to Paddle's own terms. Prices are stated at the point of sale and may change from time to time; changes do not affect licenses already purchased.
Folders File Manager
If you obtained the App as “Folders File Manager” from the Mac App Store, your download, purchase, and use are governed by Apple's standard App Store terms, including Apple's Media Services Terms and Conditions and the Licensed Application End User License Agreement. In that case those terms apply, and these Terms apply only to the extent they do not conflict with them.
App Store Transfer License
If you already purchased the App as “Folders File Manager” on the Mac App Store, you may move that purchase to Folders Pro at a reduced “transfer” price instead of buying a new full license. This reduced price is granted on the basis of that existing App Store purchase. If the original App Store transaction is later refunded, reversed, or cancelled without first notifying us, the corresponding Folders Pro license key will be void and may be deactivated without notice, refund, or other compensation.
Refunds
Because a full 14-day free evaluation is provided before purchase, purchases are generally final. Refunds are available only as described in our Refund Policy, which forms part of these Terms.
Updates
We may make updates to the App available from time to time, including through the Sparkle update framework. We are not obligated to provide any particular update, upgrade, or continued support, and updates may add, change, or remove features.
Intellectual Property
The App and all related intellectual property rights are and remain our property or that of our licensors. These Terms grant you a license to use the App only and do not transfer any ownership rights to you.
Third Party Services
The directly sold version of the App uses a limited number of third party services, including Sentry for crash and error reporting and Sparkle for updates. Your use of the App and these services is subject to our Privacy Policy.
Disclaimer of Warranties
The App is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error free, or free of harmful components, or that it will meet your requirements. You are responsible for maintaining adequate backups of your data. Nothing in this section limits any warranty or right that cannot be excluded under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of or inability to use the App. To the maximum extent permitted by applicable law, our total liability for any claim relating to the App will not exceed the amount you paid for the App. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Termination
Your license terminates automatically if you breach these Terms. On termination you must stop using the App and remove all copies. Sections concerning intellectual property, disclaimers, limitation of liability, and governing law survive termination.
Changes to These Terms
We may revise these Terms from time to time. The revised Terms take effect when posted, and your continued use of the App after that constitutes acceptance of the changes.
Governing Law
These Terms are governed by the laws of Ukraine, without regard to its conflict of law rules. Nothing in these Terms affects any mandatory statutory rights you have as a consumer under the laws of your country of residence, and where those rights conflict with these Terms, the mandatory rights prevail.
